The Role:
Reporting to the Vice President, Legal & Corporate Secretary, the Manager, Legal & Assistant Corporate Secretary will provide strategic legal counsel, with a particular focus on Canadian securities law and regulatory compliance, general corporate commercial, litigation management and strategic M&A. This role will act as Assistant Corporate Secretary by assisting with Board operations and meetings as well as corporate governance matters. This role will also manage the company’s whistleblower program.
Key Responsibilities:
Legal Duties:
- Provide legal guidance on Canadian securities law, continuous disclosure obligations, and regulatory compliance.
- Assist with drafting and reviewing continuous disclosure documents, including the company’s Annual Information Form, MD&A, news releases and investor presentations.
- Advise on corporate transactions, including mergers, acquisitions, financings, and joint ventures.
- Collaborate with internal stakeholders to develop and implement legal strategies that align with business objectives.
- Liaise with regulators, external counsel, and other legal advisors as necessary.
- Assist with drafting, reviewing, and negotiating complex commercial agreements, including supplier, offtake, and financing agreements.
- Assist with subsidiary matters, including intercompany agreements and internal reorganizations.
- Monitor and analyze legislative and regulatory changes that could impact the company.
Assistant Corporate Secretary Duties:
- Assist the Corporate Secretary with preparation for all Board meetings, including agendas, minutes, resolutions, and governance materials.
- Assist with organizing the Annual General Meeting (AGM), ensuring compliance with TSX and Nasdaq Stockholm regulations.
- Assist with the preparation of the Management Information Circular for the AGM.
- Support the Board and senior management on governance policies, disclosure obligations, and corporate compliance.
- Maintain and update corporate policies, charters, and mandates.
- Assist with the management and oversight of the company’s whistleblower program, including monitoring and assessing reports, coordinating investigations with internal teams, and ensuring adherence to legal and ethical standards in handling complaints. Responsibilities also include reporting findings to senior leadership and the Board.
- Collaborate with HR on equity plan management and in managing Computershare and Shareworks.
What You Bring:
- Law degree (LL.B. or J.D.) from a recognized institution. Member in good standing with the Law Society of British Columbia or any other Canadian province. Consideration will be given to those called to bar in other jurisdictions with the capability of being licenced in British Columbia.
- The role requires the ability to draft and complete certain core work in house.
- Minimum 3 years of corporate law experience. Prior experience working with public companies is required, and prior experience in mining, natural resources, or energy sectors is preferred.
- Strong knowledge of Canadian securities and corporate law.
- Expertise in corporate governance, M&A, and securities filings.
- Strong negotiation, drafting, and problem-solving skills.
- Excellent communication skills, with the ability to effectively communicate complex legal concepts to stakeholders at all levels.
