Position Summary:
Reporting to Kaizen Automotive Group ’s General Counsel, Legal Counsel will provide support to operating entities within our Canadian and U.S. structure. This role requires strong judgment, adaptability, and an ability to deliver timely and cost-effective legal solutions in a fast-paced, multi-jurisdictional environment. The ideal candidate brings hands-on corporate-commercial experience, strong business instincts, and a proactive approach to partnering with leadership.
Key Responsibilities:
- Provide legal advice and support on day-to-day business matters across Canadian and U.S. entities, including commercial fleet (vehicle and equipment leasing and rentals) and retail automotive operations.
- Draft, review, and negotiate a wide range of commercial agreements (eg. fleet leasing and rental standard forms (and client exceptions), services agreements, NDAs, commercial real estate leasing documents, and others).
- Assist with acquisitions and related due diligence.
- Support corporate governance responsibilities, including maintenance of corporate records, entity compliance, resolutions, and filings.
- Provide employment-related legal support in partnership with HR team.
- Manage and support litigation matters—through external counsel.
- Collaborate with and act as a liaison to external law firms, ensuring alignment, communication, and cost-effective management of legal work.
- Conduct legal research.
- Build strong, trust-based relationships with members of the assigned business teams, proactively identifying their needs and offering practical legal guidance.
- Deliver legal services in a timely and business-aligned manner, balancing risk mitigation with operational realities.
- Support risk management, policy development, and internal process improvements.
- Perform other legal duties, projects, or tasks as assigned.
Required Qualifications & Certifications:
- Ability to work onsite in our Calgary based shared services office.
- LL.B. or J.D. from an accredited Canadian law school (or equivalent).
- Must be licensed and in good standing with a Canadian provincial law society.
- 2–5 years of post-call legal experience, ideally from private practice or an in-house role.
- Experience with commercial contracts and corporate law knowledge required
- Experience with commercial real estate leasing matters and secured transactions (i.e. PPSA matters) considered an asset.
- Excellent legal drafting, analytical, and communication skills.
- Ability to balance legal risks with practical, business-focused solutions.
- High degree of professionalism with impeccable discretion, and integrity.
- Willingness to travel within Canada and to the United States, on occasion
- Valid Driver’s License with a safe, acceptable Driver’s Abstract.
